Due Diligence
When buying a company or business it is often the case that the buyer often does not know much about the company or business they are thinking of buying. In order to find out more about the company the buyer can ask questions.
We will send the seller’s solicitor a list of the questions about the business including the number of employees, their contracts of employment, copies of leases and the financial position of the business.
Once these replies have been received the buyer with or without their solicitor will check through the detail and decide if they wish to proceed with the purchase. It is much like a surveyor’s report when buying a property.
This is a very important process as the seller is then asked to warrant or guarantee that they have provided true and accurate records.
