Articles of Association
Every company must have Articles of Association. They specify:
- what the company can and cannot do
- how a company must be managed
- how the directors are to hold their meetings
- the way shareholders can exercise their voting rights
Articles of Association can be changed but a procedure must be followed which requires special resolutions.
Although we are pleased to draft bespoke Articles of Association we recommend as a means of saving costs using the standard model articles and adapting relevant clauses to suite special needs.
