Articles of Association

Every company must have Articles of Association. They specify:

  • what the company can and cannot do
  • how a company must be managed
  • how the directors are to hold their meetings
  • the way shareholders can exercise their voting rights

Articles of Association can be changed but a procedure must be followed which requires special resolutions.
