Articles of Association

All companies must have memorandum and articles of association. These are put in place when a company is set up.

It is possible to amend both the memorandum and articles of association by special resolutions.

The articles of association specify:

  • what the company can and cannot do
  • how the company must be managed
  • how the directors are to hold their meetings
  • the way shareholders can exercise their voting rights
